Description

We are looking for an experienced legal professional to take on a dual role combining Company Secretary responsibilities across the Sub-Saharan Africa region with Legal Counsel support for Cameroon.

This position plays a key role in ensuring strong corporate governance, regulatory compliance, and high-quality legal support to the business. The successful candidate will work closely with regional leadership, external advisors, and cross-functional teams to support both strategic and operational objectives.

 

Key Responsibilities

Company Secretary – Sub-Saharan Africa

  • Lead and manage company secretarial activities across multiple jurisdictions in Sub-Saharan Africa
  • Ensure compliance with local corporate governance, statutory, and regulatory requirements
  • Coordinate board and committee meetings, including preparation of agendas, minutes, and resolutions
  • Maintain statutory records and filings in line with legal obligations
  • Liaise with external company secretarial providers and regulatory authorities
  • Support entity management, restructuring projects, and governance best practices

Legal Counsel – Cameroon

  • Provide legal advice and support to the business in Cameroon across a broad range of areas (commercial, employment, regulatory, etc.)
  • Draft, review, and negotiate contracts and other legal documents
  • Support dispute resolution and manage external counsel where required
  • Advise on legal risks and ensure compliance with local laws and internal policies
  • Partner with business stakeholders to enable informed decision-making

 

Key Requirements

  • Minimum 8+ years of experience in company secretarial and/or corporate governance roles, ideally within an international environment
  • Qualified lawyer in Cameroon (or equivalent legal qualification)
  • Strong knowledge of corporate governance frameworks and statutory compliance requirements
  • Experience supporting or advising Sub-Saharan African markets is highly desirable
  • Proven ability to manage multiple jurisdictions and stakeholders
  • Strong drafting, communication, and stakeholder management skills
  • Fluent in English and French
